1. Agreement to terms

These Terms of Service govern your use of FMSLio. By accessing or using the service, you agree to these terms. If you don't agree, don't use the service.

2. Description of service

FMSLio is a software-as-a-service platform for California Financial Management Services providers operating in the Self-Determination Program. We provide tools for participant intake, worker payroll, vendor management, timesheet approval, EVV compliance, and related operations.

3. User accounts and authentication

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately at contact@fmslio.com of unauthorized use.

4. Acceptable use

Don't use FMSLio to violate any law, infringe any third party's rights, transmit malware or harmful code, attempt to gain unauthorized access to other accounts, or interfere with the service's operation.

5. Payment terms

Subscriptions are billed in advance on the cadence you select (Monthly or Annual) for the plan you choose. A 14-day skip-card grace window is available at onboarding for evaluation; once the window closes, an active payment method is required to continue using the service. Payment processing is performed by Stripe, our PCI-DSS Level 1 payment subprocessor; FMSLio never stores raw card numbers. Failure to pay after the grace period may result in read-only mode followed by suspension.

6. Intellectual property

FMSLio and all related software, content, and trademarks remain our property. You retain ownership of the data you upload, but you grant us a license to use it solely to operate and improve the service for your account.

7. Disclaimer of warranties

FMSLio is provided "as is" without warranties of any kind. We don't warrant that the service will be error-free, uninterrupted, or that all defects will be corrected. Your use is at your own risk.

8. Limitation of liability

To the maximum extent permitted by law, FMSLio is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from these terms is limited to the fees you paid us in the twelve months preceding the claim.

9. Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these terms. On termination, your access stops; we retain operational and audit records as required by HIPAA, applicable state law, and our retention schedule.

10. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email or in-product notice. Continued use after changes constitutes acceptance.
